SUPPLIER IDENTIFICATION

The goods covered by these general conditions are put up for sale by B-side Factory S.A.S, whose registered office is situated in Turin in C.so San Maurizio, 20 bis – 10124. B-side Factory s.a.s is registered at the Turin Chamber of Commerce with the number TO - 912353, in the Business Register, VAT no. 07687550017 and with e-mail: ordini@bshopzone.com.

GENERAL INSTRUCTIONS

These conditions are valid exclusively between the company B-side Factory S.A.S. and any person, hereinafter referred to as simply "buyer or user", who buys online at www.bshopzone.com.
Before proceeding to confirm the order, the buyer undertakes to examine these general conditions of sale, and to accept them.

WARNINGS AND GENERAL RECOMMENDATIONS

The technical information contained on the B-side Factory S.A.S web page is provided by the producers or obtained from the information provided by the manufacturers. B-side Factory S.A.S assumes no responsibility for errors, inaccuracies and / or imprecisions in the published technical data sheets and reserves the right to modify product informations at any time without previous notice.
The images published in the catalog or in the technical data sheets must be understood as merely informative and demonstrative material for the appearance of the product.
Many of the products sold by B-side Factory S.A.S are used in the exercise of activities considered high risk (mountaineering, ski mountaineering, indoor and outdoor climbing, trekking, ice waterfalls, etc.). It is under the user / purchaser responsibility to possess the necessary technical skills for the use of the equipment, for their assembly, maintenance and / or replacement of some of its components. In the case of use by minors, even if experts, supervision by parents or expert personnel is recommended. It is highly recommended to read the instructions for use, for the assembly and / or replacement of some of its components very carefully, also watching tutorials on the network and on the web pages of the producers. Pursuant to articles 114 and ss. of the Consumer Code, the B-side Factory S.A.S - as a supplier - is responsible for the damage caused by defects of the goods sold only if it fails to inform the damaged, within 3 months from the request, the identity and domicile of the producer or of the person who supplied the property.
The demand of the damaged must be written and must indicate the product that caused the damage, the place and the date of the purchase, together with a copy of the invoice or the receipt; it must also contain the offer in view of the product, if it still exists.
B-side Factory S.A.S can not be held responsible for the consequences of a defective product if the defect is due to an imperative legal rule or a binding provision, or if when the producer has put the product into circulation (considering the state of scientific and technical knowledge) it was not to be considered defective.
No compensation is due if the injured person was aware of the product's defect and of the danger deriving from it and nevertheless he voluntarily exposed himself.
No compensation is due if the defect and any damage occurred as a result of different use for which the product was reasonably intended, or when the defect and the damage was the result of a wrong and / or non-conforming maintenance or use of the material. In any case it is strongly advised to read carefully the indications and precautions for use, provided for each specific equipment on the official pages of the producers.

PURCHASE METHODS

The user purchases the product at the end of the purchase procedure provided by the system. The characteristics of the individual products are illustrated in the on-line catalog, in the relative technical data sheets, and at the price indicated should be added the shipping costs (where present).
Once the purchase procedure is completed, the buyer will receive an automatic e-mail message from B-side Factory S.A.S, attesting the confirmation of the order.
B-side Factory S.A.S assumes no responsibility for disruptions due to major force, if it fails to execute the order on schedule. The B-side Factory S.A.S can not also be held responsible towards the purchaser, except in the case of willful misconduct, or gross negligence, for disservices or malfunctions connected to the use of the Internet outside of its control.

PRICE

All sales prices of the products indicated on the site are expressed in Euro and include VAT. The shipping costs, as indicated below in the appropriate section of these general conditions of sale, are not included in the price, but will be indicated and calculated at the time of the conclusion of the purchase procedure and before the payment is made. When due to errors or system inefficiencies, the indicated sale price is exorbitant or particularly insignificant compared to the list price of the goods, B-side Factory S.A.S reserves the right to cancel / cancel the order.
This cancellation and the reasons justifying will be communicated with a specific e-mail message. The amount eventually paid by the customer will be refund within 14 days from the day of such communication. Offers are normally not cumulative with any other discounts, offers, and special promotions, except for the cases expressly indicated.

AVAILABILITY OF PRODUCTS

B-side Factory S.A.S manages its e-commerce business directly and owns its own warehouse. Thanks to the use of advanced software for warehouse management from the online catalog it is always possible to check the availability of the product in real time. This indication refers to the actual availability existing at the time the order is placed. The products on offer will be available until the indicated date or, in any case, while supplies last. Due to the simultaneous presence of several users on the system, it may happen that the availability of certain products is exhausted before the system can update this situation. Therefore there may be cases of unavailability of the goods, even after the order confirmation e-mail is sent by B-side Factory.
In this case, the order will be modified with the elimination of the product that is not available. The buyer will be informed of this situation by e-mail; any amount paid by the customer for the unavailable item will be refund within 14 days from the communication.

PAYMENT  METHODS

The payment methods provided are the following:

• Payment by Credit Card
  The choice of this type of payment allows you to pay comfortably and securely by credit card on the Mastercard, Visa, Visa Electron, Postepay. The transaction takes place on secure and protected servers via an SSL connection channel. In case of return of the goods, the transaction will be reversed thus allowing re-credit on the card used.
• Payment with Paypal
  It is possible to pay in this mode by selecting the PayPal option. If you have a PayPal account, you will need to identify yourself with your e-mail address and password and confirm the payment. If you do not have a PayPal account, you can create a new one using your credit / pre-paid card. In this case it will be enough to select the type of card, fill in the necessary data and confirm the payment. Also remember that PayPal protects your purchase. In case of return of the goods, the transaction will be canceled allowing the re-crediting of your PayPal account.
  
• Payment by bank transfer
  The choice of the bank transfer option allows the bank transaction to be carried out according to the instructions received in the order confirmation. Once the payment has been made, it is requested to send the bank transfer account manager to the e-mail address from which the order confirmation was received, in order to allow verification of the actual purchase intent and to keep the selected items active. The order will be considered valid only if the transfer book is sent within 3 days from the order confirmation. Upon crediting to our bank account, we will immediately ship the goods. The average delivery times will start from that moment.

PAYMENT SECURITY

We guarantee the security of payments and data related to the credit card. All payment transactions are made DIRECTLY by the Bank itself, on their own secure server and neither us nor anyone else will ever be aware of your personal data and credit card number.

TAX RECEIPT OR ACCOMPANYING INVOICE EMISSION

For each purchase, a regular receipt will be issued, and will be sent (in paper format) with the goods.
For customers registered in the "companies" area (so purchase with VAT registration number) and in the case of purchases made outside the European Union (also by private citizens), an accompanying invoice will be issued and will be available for download on your on-line account. In any case, a paper copy will be sent together with the goods. The customer can specify billing information other than shipping.

SHIPPING COSTS AND ADDITIONAL EXPENSES

Shipping costs throughout the Italian territory are as follows:

• For amounts up to € 100 the shipping costs are € 9
• For amounts above € 100, delivery is free throughout the country.

For shipping costs abroad, refer to the following table:

• Austria and Germany: 13 euro
• France, Belgium, Holland: 15 euro
• Spain
  for amounts up to € 100 the shipping costs are € 9
  for amounts above € 100, delivery is free throughout Spain, with the exception of the Balearic Islands (€ 18).

• Romania, Slovenia, Sweden, Poland and the Slovak Republic: 21 euros
• Czech Republic, Finland, Hungary and Portugal: 25 euros
• Greece and Latvia: 30 euros
• Malta: 69 euros
• Norway and Switzerland: 45 euros
• Japan and Ireland: 50 euros
• Australia: 57 euros

SHIPPING TIMES AND DELIVERY OF PRODUCTS

For shipments we usually use an express courier: DPD or FEDEX. B-side Factory S.A.S reserves the right to choose and modify the courier to send the goods according to their specific logistic requirements. For orders whose payment method chosen is the bank transfer, the shipment of the goods will take place only at the time of accreditation on our bank account of the relative amount. Average shipping times will have to be calculated only from that moment. Once the goods have been shipped, delivery takes place within 24/48/72 hours throughout Italy. We always communicate the departure of the shipment by e-mail. Delivery times for countries other than Italy are as follows:

• Europe: 3/5 days
• Japan: 10 days
• Australia: 10 days

RIGHT OF WITHDRAWAL

B-side Factory S.A.S recognizes the right of withdrawal, as required by current legislation (Decree Law No. 21 of 21 February 2014 and European Directive 83/2011). The deadline for this right is 14 days since the receipt of goods. In the case of multiple shipment, the 14 days start from the moment in which the consumer receive the last good. By this date, the customer is required to send a communication containing the willingness to exercise the right of withdrawal by e-mail to info@bshopzone.com The communication, whatever the form of transmission, must indicate in the object the following wording: Return of the order n ._______, Name, Surname, and date of receipt of the package.
In case of payment made by bank transfer, you should indicate the bank details (name of the bank, name of the agency, ABI code, CAB code, account number, IBAN). Then the customer must send the goods within 14 days from the communication of the withdrawal. The choice of courier and the direct cost of shipping are charged to the customer who must guarantee the integrity of the goods during transport. The customer have to attach the original receipt to guarantee the correct reimbursement of the withdrawal.
It is not possible to exercise the right of withdrawal in the following cases: clothing or footwear worn and / or washed, or without labels or original packaging; product that does not retain the original features and equipment possessed at the time of purchase; if the purchased good is not intact and returned in its original packaging, complete in all its parts (including packaging and any documentation and accessory equipment: manuals, cables, etc.); when the product that has also been minimally used or has undergone alteration, tampering, breaking, abrasion or simple opening of a seal. To limit damage to the original packaging, we therefore recommend, where possible, to place it in a second box, avoiding in all cases the affixing of labels or adhesive tapes directly on the original packaging of the product. The consumer is the solely responsible for the diminished value of the goods, resulting from the handling of the goods other than that necessary to establish the nature, characteristics and functioning of the goods. Within 14 days of receipt of the goods, B-side Factory SAS will refund the exact amount that the customer has paid for the purchase with the same payment method as the original order. The only expense that the customer has to bear therefore, to make use of the right of withdrawal, is the cost of transporting the courier or the ordinary postal service for sending the goods to our office.
The right of withdrawal is not available for company.

GUARANTEES

Legal guarantee of conformity
All products distributed by B-side Factory enjoy the legal guarantee for defective or non-compliant product in the terms indicated by the Italian Law: for private users who have purchased for their personal use, the warranty period is 24 months; for users who have purchased for professional purposes (purchase with invoice and VAT number) the warranty period is 12 months. These terms start from the date of receipt of the goods. The user has the obligation to report to B-side Factory S.A.S the presence of a defect or a lack of conformity of the product, by sending an email to the address info@bshopzone.com.
This communication must indicate in the object the following wording: Reporting defect / lack of conformity, n ._______ of order, Surname Name, date of receipt of goods.
In the the report must be specified the defect or causes of non-compliance of the product, attaching eventually appropriate photographic documentation and copy of the original invoice / receipt. The deadlines within which to make the complaint are: 2 months from the discovery of the defect in the case of private users who purchased for personal use and are therefore considered consumers; 8 days from the discovery of the defect / defect in the case of users who have purchased for professional purposes (purchase with invoice and VAT number). The warranty does not cover damage to products caused by improper use of the same and any damage caused by the same products to third parts or to things and objects of third parts. The warranty does not include the normal phenomena of product wear. For defects reported in the terms indicated, B-side -Factory S.A.S will organize, at its own expense, the withdrawal of the product, after having verified the existence of the defect. In case of lack of conformity, the buyer can ask, at his choice, the seller to repair the goods or to replace them, without expenses in both cases, unless the remedy requested is objectively impossible or excessively burdensome compared to the other. In this case the buyer has the right to an appropriate reduction of the price or the termination of the contract. In determining the amount of the reduction or sum to be repaid, the use of the asset is taken into account.

APPLICABLE LAW AND JURISDICTION

The relationships between B-side Factory and the buyer will be governed by Italian law. In the event of a dispute, the Court of the place of residence of the consumer will be exclusively competent if located in the territory of the state. In the case of professional buyers (companies or other types) the Court of Turin will be exclusively competent. In application of the current legislation for the resolution of any disputes arising from the application and interpretation of these conditions of sale, it is however possible to optionally resort to the mediation procedures set out in Legislative Decree 28/2010.
